Vanguard Ecosystem — Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Vanguard ecosystem, including the Vanguard Platform (event infrastructure) and the Pathfinder navigation module. By creating an account, clicking “I agree”, connecting Pathfinder, or otherwise using the Services, you enter into a legally binding agreement with Vanguard Creative Platforms Inc. (“Vanguard”, “we”, “us”, “our”) and agree to be bound by these Terms of Service.
1. General Provisions
1.1 Scope of Terms
These Terms are the core rules for using the Vanguard ecosystem and apply to everyone who interacts with it, including, but not limited to:
- Users and visitors of our platform;
- Participants in events, rounds, or duels;
- Event organizers, sponsors, and partners;
- Judges, experts, and other evaluators;
- Representatives of organizations participating in or facilitating activities;
- Third-party service providers, sublicensees, or contractors acting on behalf of Vanguard;
- Any other individuals or entities accessing or using the Services in connection with the Vanguard ecosystem.
These Terms govern all interactions with the ecosystem, whether direct or indirect, and ensure that all participants understand their rights, responsibilities, and obligations.

Vanguard may use the email address, account contact details, and/or contact channels connected through Pathfinder, where enabled, to send service, account, security, transactional, Event-related, and Platform-related communications that are reasonably necessary to operate the Services, administer your account, provide Event functionality, process acceptances, deliver notices, maintain security, or support your participation in the Vanguard ecosystem.
Vanguard may send marketing, promotional, newsletter, partner, showcase, or opportunity-related electronic messages only where permitted by applicable law, including where any required consent has been obtained. Such messages will identify the sender and include a functioning unsubscribe mechanism where required by applicable law.
You may unsubscribe from marketing or promotional electronic messages at any time. Unsubscribing from marketing communications does not prevent Vanguard from sending non-marketing service, account, security, legal, transactional, Event-related, or Platform-operation messages that are reasonably necessary for your use of the Services.
1.3 Overview of Vanguard Platform
The Vanguard Platform is a digital, infrastructure-grade web service that enables the creation, hosting, and operation of events (competitions, collaborative rounds, selections, tournaments, challenges, educational / partner formats, and similar), including, but not limited to:
- user registration and participation flows;
- submissions and materials handling;
- scoring, ranking, results, and audit trails;
- event pages and participant pages;
- judge tooling and evaluation workflows;
- notifications and integrity controls.
The Platform provides tools and infrastructure. Each Organizer defines the content and rules of a specific event (topic, tasks, criteria, judges, prizes, deadlines, participation terms).
1.4 Purpose and Function of Pathfinder
Pathfinder is the ecosystem navigation module that helps a user:
- register and create/maintain a master profile;
- complete onboarding and profiling;
- receive navigation across events and opportunities;
- track missions, achievements, statuses, and trajectories;
- receive notifications (including via messaging channels, if enabled).
Pathfinder may operate through messaging platforms and may be linked to the Vanguard Platform under a unified identity model (single profile / single entry).
Pathfinder does not provide legal advice and does not make automated legal decisions; it provides informational and structural guidance within the Services.
1.5 Platform Governance Framework
The Vanguard ecosystem operates under a structured governance framework composed of several complementary documents that together define the rules, rights, and responsibilities of participants.
These include:
- These Terms of Service — which govern access to and use of the Services and apply to all Users.
- The Privacy Policy — which governs the collection, use, storage, and protection of Personal Information.
- The Content Promotion and Media License — which governs Vanguard’s promotional and media use of Participant Content.
- The Universal Event Operations Framework — which establishes baseline operational standards for events across the ecosystem, including conduct rules, judging integrity, complaint procedures, and anti-abuse safeguards.
- Specific Event Rules — which define event-specific parameters such as themes, deadlines, criteria, prizes, participation requirements, licensing conditions for that event, and other conditions established by an Organizer.
Together, these documents form the governance structure of the Vanguard Ecosystem. They are interpreted and applied according to the priority order described in Section 14 (Document Priority).
Vanguard may update or supplement elements of this governance framework from time to time in accordance with these Terms.
1.6 Acceptance of Terms and Formation of Agreement
You enter into a legally binding agreement with Vanguard when you:
- create an account;
- click “I agree” or any equivalent acceptance mechanism;
- access or use the Services in any manner (including participation, submissions, judging, or event management); or
- connect Pathfinder and continue using it after being presented with these Terms (or a link to them).
If you do not agree to these Terms, you must not access or use the Services.
By using the Services, you consent to the electronic formation of this agreement. Your electronic actions constitute valid acceptance and are enforceable as a signed agreement to the fullest extent permitted by law.
These Terms remain in effect until your account is deleted, you cease use of the Services, or Vanguard terminates access in accordance with these Terms. Paid features remain subject to their applicable billing periods and plan terms.
Where participation in specific features, events, or submissions requires acceptance of additional documents (including the Content Promotion and Media License), such acceptance forms part of the binding agreement between you and Vanguard.
1.7 Age Eligibility and Lawful Use
By accessing or using the Vanguard ecosystem, you represent and warrant that you have the legal capacity to enter into a binding agreement or, where you are a minor and participation is permitted, that your parent or legal guardian has consented to your use of the Services and has agreed to be responsible for your use of the Services and compliance with these Terms.
You must be at least 18 years of age to create an account and use the Services independently.
Individuals who are at least 14 years of age but under 18 years of age may use the Services only where:
- participation by such individuals is expressly permitted for the relevant event, feature, or use case;
- the individual has the consent and supervision of a parent or legal guardian; and
- the parent or legal guardian agrees to these Terms on the individual’s behalf and accepts responsibility for the individual’s use of the Services.
Individuals who are under 14 years of age may not create an account, access, register for, or use the Services, and may not submit personal information to Vanguard, unless participation is expressly permitted for a specific event and all legally required parental or legal guardian consents have been obtained in accordance with applicable law.
If a specific event, showcase, competition, or feature within the Services allows participation by minors, the Organizer of that event is responsible for obtaining any required parental or legal guardian consents and ensuring compliance with applicable law. Vanguard reserves the right to request reasonable proof of age or parental/legal guardian consent and to restrict, suspend, or remove access to any event or user account where such requirements are not satisfied or where participation may pose legal, regulatory, or safety risks.
Users who provide false information about their age, misrepresent their eligibility, or attempt to circumvent these age restrictions may have their accounts suspended or terminated without notice.
By accessing, registering for, previewing, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and the applicable policies referenced in them, including the Privacy Policy.
1.8 Key Definitions
- User — anyone who accesses or uses the Services.
- Participant — a User who applies for, joins, or submits content to an event, round, or duel.
- Organizer — an individual or entity that creates and runs an event on the Platform.
- Judge / Expert — a User granted evaluation access by an Organizer.
- Content — materials uploaded, posted, or submitted by Users (text, files, audio, video, code, images, links, and related metadata).
- Services — the Vanguard Platform and Pathfinder, including related sites, interfaces, and features provided by Vanguard.
- Vanguard Ecosystem — refers to the integrated environment of services, programs, and activities operated or facilitated by Vanguard, including the Vanguard Platform, the Pathfinder navigation module, events, rounds, duels, showcases, ecosystem programs, community interactions, and related initiatives connected to the Services.
“Personal Information” has the meaning defined in the Privacy Policy.
In these Terms, references to “User information” or “Participant information” may include Personal Information where applicable.
2. Platform Role and Scope
2.1 What Vanguard Provides
Vanguard provides access to the Services as digital infrastructure. Depending on configuration, access level, and plan, this may include:
- account registration and profile management;
- participation in events (applications, rounds, submissions);
- event and participant pages;
- scoring, rankings, and results displays;
- judging and evaluation tooling;
- teams / groups / subscriptions / notifications (if enabled);
- duels (challenge, topic, judge invitations, evaluation);
- storage of Content and related metadata within the Services;
- paid options (if enabled): premium features, customization, expanded limits, enterprise access.
The set of features may evolve over time and may vary by event configuration, plan, or technical updates.
2.2 Vanguard’s Role and Limitations
The Services provide digital infrastructure for hosting, operating, and participating in events, showcases, competitions, and discovery programs.
Except where Vanguard Creative Platforms Inc. is expressly identified as the Organizer of a specific event, Vanguard acts solely as a technology and infrastructure provider.
Where Vanguard is expressly identified as the Organizer in the applicable Event Terms, Event page, or Event Materials, Vanguard is responsible for the Organizer obligations described in those event-specific documents. In those cases, references in these Terms to an “Organizer” include Vanguard acting in its Organizer capacity, but only for that specific event.
Except where Vanguard is acting as the Organizer of a specific Vanguard-run event, Vanguard is not:
- an employer, agency, label, manager, promoter, or representative;
- an educational institution or certification body; or
- a party to agreements between Users, including Organizers, Participants, Judges, or third parties.
For events organized by third-party Organizers, Vanguard does not create, control, or endorse event content, judging decisions, outcomes, or opportunities arising from participation.
For Vanguard-run events, the applicable Event Terms, Event page, and Event Materials define Vanguard’s Organizer role, responsibilities, event rules, evaluation process, judging structure, results process, prizes, publicity conditions, and related event-specific obligations.
No Guarantee of Outcomes:
Vanguard does not guarantee:
- selection, advancement, or winning;
- employment, representation, contracts, bookings, or promotional opportunities; or
- that events will meet any particular expectation.
Participation in the Services does not create any employment, agency, label, management, representation, educational, fiduciary, or other professional relationship with Vanguard unless expressly stated in a separate written agreement.
All interactions, opportunities, or agreements between Users, including industry professionals, are independent of Vanguard unless Vanguard is expressly a party to a separate written agreement.
2.3 Professional Use and Enterprise Positioning
Organizer-facing and paid features are designed primarily for professional, business, and organizational use, including the creation, management, and operation of events. Personal use — such as creating a participant account, browsing events, submitting entries, or interacting with available platform content — is permitted within the functionality available to all users, except where a specific event rule expressly restricts it.
2.4 Delivery Model (SaaS)
By default, the Services are provided as SaaS (a web-based service over the Internet).
Dedicated hosting, enterprise environments, custom SLAs, integrations, or special deployment formats are available only under a separate written agreement.
2.5 Role Responsibilities in Events
Each role within the Services carries independent responsibility:
- Organizers are responsible for event design, rules, content, judging structure, prizes, and legal compliance.
- Judges are responsible for fair, good-faith evaluation and avoiding conflicts of interest.
- Participants are responsible for their Content, compliance with rules, and lawful conduct.
Except where Vanguard Creative Platforms Inc. is expressly identified as the Organizer of a specific event, Vanguard provides infrastructure only and does not assume responsibility for how Users perform these roles.
Where Vanguard is expressly identified as the Organizer of a specific event, Vanguard is responsible for the Organizer obligations described in the applicable Event Terms, Event page, and Event Materials.
Vanguard may take action, including restricting access or pausing events, where necessary to address legal, security, fraud, abuse, safety, or integrity risks.
2.6 Ecosystem Programs, Trajectories, and Access Conditions
The Services may be used as part of ecosystem programs (series of events, missions, achievements, progression tracks, statuses, access levels).
Access to a specific event or stage may depend on:
- achievements / statuses / completion of prior stages;
- membership in a group or organization (if configured); or
- other conditions published by the Organizer within the Services.
2.7 Intellectual Property and the Status of the Services
The Vanguard Platform and Pathfinder are protected intellectual property and may include software, interface elements, and databases (including structured materials and metadata created through use of the Services).
All rights, title, and interest in and to the Services (including code, architecture, algorithms, business logic, data structures, UI design, and Vanguard-created text and assets) belong to Vanguard and/or its licensors.
Subject to these Terms, Vanguard grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose during the term of this agreement. You do not receive rights to source code, internal algorithms, or non-public methods of operation beyond the ability to use the Services via the provided interfaces.
2.8 Plans, Limits, and Access Parameters
Access to certain features and the scope of permitted use may be defined by plans, limits, and event settings in effect at the time of access. Plans and pricing (where applicable) are published on the website or in the Services and form part of these Terms by reference.
Limits may include, depending on configuration: numbers of participants/teams, rounds/stages, judges, storage volumes, allowed content types, advanced settings, customization, notifications, integrations, or other feature constraints.
Vanguard may enforce technical limits automatically and/or offer an upgrade path when limits are reached. Details are displayed before selection and/or within the relevant configuration screens.
3. Accounts, Unified Identity, and Security
3.1 Registration and Access
You may start using the Services through:
- the Vanguard Platform web interface (for example, via email and verification), and/or
- Pathfinder (for example, via a connected messaging channel, where available).
Available features may depend on whether your contact details are verified and whether basic security checks are completed (for example, email verification).
3.2 Account and Unified Identity (Platform + Pathfinder)
The Vanguard Platform is the web service layer. Pathfinder is the navigation module that may operate through messaging channels and supports onboarding, profiles, missions, achievements, and access logic.
We design the Services so a User can have a unified profile, meaning:
- you can register on the Platform first and then connect Pathfinder, or
- you can begin with Pathfinder and later link it to a Platform account.
Linking helps ensure you:
- keep your participation history;
- receive notifications through a preferred channel;
- use the same achievements / statuses / access conditions across the ecosystem.
Linking may require verification (for example, a code, a link, or an authenticated sign-in).
You may disconnect Pathfinder from your account if the feature is available, but some functionality may become unavailable.
3.3 Accuracy of Information
You agree to provide information that is accurate to the best of your knowledge.
If your email, phone number, username, or other key details change, you must update them in your profile (where available) or contact support.
If you use the Services on behalf of an organization, you represent that:
- you have authority to act for that organization, and
- the organizational information you provide is accurate.
You are responsible for activity performed through your account.
3.3.1 Account Authority and Representation
By creating an account or using the Services, you represent and warrant that:
- the information you provide is accurate and not misleading;
- you are registering the account for yourself or for an organization that has authorized you to act on its behalf;
- you have the legal authority to bind that organization to these Terms where you register or act on behalf of it; and
- you are not impersonating any person or entity, or misrepresenting your affiliation with any person, organization, or brand.
You must not create accounts using false identities, unauthorized third-party information, or accounts intended to evade enforcement of these Terms.
If Vanguard reasonably believes that an account has been created or used without proper authority, involves impersonation, or misrepresents identity or affiliation, Vanguard may suspend or terminate the account and restrict access to the Services pending verification.
3.4 Account Security and Responsibility
You are responsible for maintaining the confidentiality and security of your access credentials (passwords, tokens, login codes), devices, and any connected messaging account.
Do not share access with third parties.
For security and integrity purposes, Vanguard maintains event and security logs, which may include timestamps, IP address, device/browser identifiers, and session tokens, to:
- protect Users and the Services;
- investigate incidents;
- prevent abuse and fraud;
- support compliance and enforcement of these Terms.
Actions taken through your account and/or verified access channels are treated as taken by you unless and until you notify Vanguard of a suspected compromise and Vanguard has had a reasonable opportunity to investigate.
3.5 Suspicious Activity and Protective Measures
Vanguard may restrict or suspend access to an account or certain features where we reasonably believe:
- an account may be compromised;
- there is automated or abusive activity (bots, spam, scraping);
- there are integrity violations, circumvention attempts, or attacks on the Services; or
- a security review is necessary.
Where reasonably possible, we will provide notice and guidance for restoring access; however, Vanguard is not liable for any delays or inability to provide such notice.
3.6 Account Deletion
You may request deletion of your account:
- through the Services (if available), or
- by contacting support at the address provided in these Terms.
After deletion (or termination of access), certain information and Content you have uploaded or submitted may be retained in accordance with the Content License, the Privacy Policy, and applicable event rules. This includes archival of event results, security and integrity logs, and any other records necessary for legal, regulatory, or contractual purposes. Retained information will be deleted or de-identified when no longer required, unless retention is required or permitted by law.
Data retention and deletion practices are further described in the Privacy Policy.
4. Roles on the Services and How They Work
4.1 User
A User is any person who registers on the Vanguard Platform and/or interacts with Pathfinder.
Depending on what is enabled, a User may:
- maintain a profile;
- participate in events;
- create or join teams;
- follow events and receive updates;
- use messaging or other social features (if enabled);
- connect or disconnect Pathfinder; and/or
- configure notification preferences.
4.2 Event Participant
A Participant is a User who applies to, joins, or submits materials to a specific event, round, or duel.
A Participant agrees to:
- comply with these Terms and the relevant event rules;
- meet deadlines and submission requirements;
- avoid violating laws or third-party rights when submitting Content; and
- behave respectfully in communications.
Important: participation often creates a public record (for example, submissions, scores, rankings, and event pages). Reversing or removing participation history may be impossible or limited depending on the event configuration and rules.
4.3 Organizer
An Organizer is a User and/or organization that creates and runs an event using the Services.
Where Vanguard Creative Platforms Inc. is expressly identified as the Organizer of a specific event, Vanguard acts as the Organizer for that event in addition to its role as operator of the Services.
Organizers may access event management tools such as configuration, stages, criteria, judging workflows, submission intake, event pages, communications, and results.
An Organizer agrees to:
- - describe the event clearly and honestly, including purpose, format, deadlines, criteria, judges, prizes, and participation terms;
- - disclose what materials are accepted and any restrictions, including licensing terms if they differ from the Platform defaults;
- - ensure a fair and properly administered judging process, including assignments, access controls, and conflicts of interest;
- - comply with law and these Terms;
- - not use the Services for fraud, unlawful data collection, or deceptive schemes; and
- - ensure Participants can access event rules and any event-level terms before submitting, joining, or progressing through stages.
The Organizer understands and accepts that: - - except where Vanguard is expressly identified as the Organizer of a specific event, the Services provide infrastructure and the event content and event-specific terms are defined by the Organizer; and
- - the Organizer is responsible for its rules, operations, and for how it uses Participant information made available through the Services, subject to applicable law and the applicable event documents.
4.4 Judge / Expert
A Judge (or Expert) is a User granted evaluation access by an Organizer.
A Judge agrees to:
- evaluate in good faith according to the event criteria;
- avoid conflicts of interest;
- not use access for pressure, coercion, harassment, or personal gain;
- not engage in bullying, discrimination, doxxing, or leaks;
- keep information confidential where required by event and Vanguard rules;
- not use submissions or Participant information outside the purpose of evaluation; and
- not disclose materials or internal results before publication where restricted by event rules.
Vanguard and/or the Organizer may revoke judging access for violations of these Terms or event rules.
4.5 Teams and Collaborative Participation
If the Services support teams:
- teams are created by Users;
- team members define internal roles and task allocation;
- responsibility for Content and compliance remains with the submitting Users and, where applicable, the team as a whole, as defined by the event rules.
5. Conduct, Ethics, and Communication Safety
5.1 Core Principle
Vanguard is built for structured competition, selection, and collaboration. We expect respectful conduct and professional behavior.
5.2 Prohibited Behavior
You must not use the Services to engage in, promote, or enable any of the following:
- hate, harassment, discrimination, bullying, sexual harassment, threats, stalking, or targeted abuse;
- content/actions that encourages violence, cruelty, sexual exploitation, or self-harm;
- unlawful content or content that violates applicable law;
- spam, unsolicited mass messaging, manipulation of rankings, bot activity, fraud, or attempts to distort event integrity;
- impersonation, identity deception, or misrepresentation of authority to act on behalf of an individual or organization;
- collection of personal information about Users outside the mechanisms provided by the Services without a lawful basis;
- attempts to access other accounts, confidential data, admin areas, or security systems;
- infringement of intellectual property (including plagiarism or submitting another person’s work as your own);
- disclosure of third-party personal information without a lawful basis (doxxing, leaks of documents or contacts); and
- uploading malware, exploits, or links intended to compromise systems.
Additionally, you must not:
- use automated tools (scripts, bots, scrapers, crawlers) to extract or collect data from the Services (including profiles, submissions, rankings, results, or metadata) unless explicitly permitted by Vanguard through official APIs or written authorization;
- circumvent limits, paywalls, access controls, rate limits, role restrictions, or other technical safeguards;
- decompile, reverse engineer, disassemble, modify, or create derivative works from any part of the Services except to the extent such restriction is prohibited by applicable law; and
- copy or imitate the Services’ structure, workflows, UI logic, or screens for commercial purposes, including building clones or lookalike products.
Enforcement and Reporting:
Vanguard may suspend or restrict access, remove content, or take other measures to address prohibited behavior. Certain prohibited conduct may also require reporting to law enforcement or other authorities under applicable laws. Users are responsible for complying with all applicable laws in connection with their use of the Services.
5.3 Social and Messaging Features (If Enabled)
Where the Services include messaging, follows, feeds, or other social features:
- use them respectfully;
- do not send unsolicited mass messages; and
- do not use private channels for coercion, harassment, or aggressive solicitation.
Vanguard may limit communications where we receive complaints or detect abuse patterns.
5.4 Compliance with Laws and Export Restrictions
You agree to comply with all applicable laws, rules, and regulations when accessing or using the Services, including those relating to international trade, export controls, and economic sanctions.
You represent and warrant that:
- you are not located in, ordinarily resident in, or a national of any country or territory that is subject to comprehensive economic sanctions or trade embargoes under applicable laws;
- you are not listed on any government-issued sanctions or restricted party list; and
- you will not use the Services in violation of any applicable export control or sanctions laws.
Without limiting the foregoing, you may not access or use the Services if doing so would cause Vanguard to violate applicable export control or sanctions laws administered by relevant authorities, including those enforced by agencies such as the Office of Foreign Assets Control, the European Commission, or the Global Affairs Canada.
Vanguard reserves the right to restrict, suspend, or terminate access to the Services where necessary to comply with applicable laws or where use of the Services presents a legal or regulatory risk.
6. Access, Moderation, Compliance, and Verification
6.1 Organizer Verification (KYC/KYB) and Authority Checks
Purpose and Scope:
Vanguard may verify Organizers and/or their representatives (KYC/KYB) to comply with law, prevent fraud and abuse, protect Participants, preserve platform integrity, and assess event risk (including paid or high-impact events).
What May Be Requested:
As part of verification, Vanguard may request documents and information, including (without limitation):
- registration and identity details for an individual or entity;
- proof of authority to act on behalf of an Organizer;
- evidence of rights to run an event (e.g., permissions to use brands or materials, permits/approvals where required);
- official contact details for legal and operational communication;
- other information reasonably necessary to evaluate legitimacy, security, and risk.
Organizer Obligations:
Organizers must provide accurate information and keep it up to date.
Consequences of Refusal or False Information:
Failure to provide requested information, or providing materially inaccurate information, may result in:
- refusal to publish or run an event;
- restricted Organizer functionality;
- suspension or termination of an event;
- suspension or termination of access to the Services.
Risk-Based Approach:
Vanguard determines the need and depth of verification using a risk-based approach, considering factors such as paid events, large-scale enrollment, off-platform payments, complaints, fraud indicators, and enterprise/customer requirements.
Legal Compliance Note:
Vanguard collects and processes verification information only to the extent necessary to comply with law, prevent fraud, and operate the Services, in accordance with applicable data protection laws.
6.2 Event Rules, Consents, and Participant Acceptance (Organizer Setup)
Organizers are responsible for preparing and publishing event-specific rules and any required participant terms, consents, disclosures, content licensing terms, and privacy notices necessary to run their event lawfully.
Organizers must configure required participant acceptances in the Services (e.g., checkboxes or step-based confirmations) before participants submit, join, upload Content, or progress through event stages.
The Services may provide technical capabilities to:
- host or display the Organizer’s event rules and disclosures;
- configure whether acceptance is mandatory;
- record acceptance (including timestamp, user identifier, document identifier/version, and related metadata);
- retain technical logs for integrity and audit purposes.
Organizer Responsibility:
Organizers are solely responsible for the content, legality, and sufficiency of their event documents and acceptances. Vanguard does not provide legal review of Organizer documents and is not responsible for their compliance.
6.2.1 Data Roles in Events (Platform Controller vs. Organizer Controller)
Vanguard acts as a Data Controller for personal information processed to operate the Services, including accounts, master profiles, security logs, event participation records, and ecosystem navigation through Pathfinder, as described in the Privacy Policy.
An Organizer acts as an independent Data Controller for event-specific processing once a Participant joins an event or submits Content after accepting the event rules and required acceptances.
Where Vanguard Creative Platforms Inc. is expressly identified as the Organizer of a specific event, Vanguard may process event-specific Personal Information both as platform operator and as Organizer of that event, as described in the applicable Event Terms, Event Materials, Privacy Policy, and any Event-specific privacy notice.
Where an event requires repeated acceptances per round, those acceptances apply each time as configured.
Vanguard shares Participant information with Organizers only as necessary to provide event infrastructure and in accordance with Participant acceptances, applicable event documents, and applicable law.
Organizers are responsible for lawful processing of Participant information under applicable data protection laws.
Organizers must not use Participant information obtained through the Services for unrelated marketing, promotional communications, newsletters, outreach, profiling, or commercial electronic messages unless such use has been clearly disclosed to the Participant and any legally required consent has been obtained. Where an Organizer sends commercial electronic messages, the Organizer is responsible for complying with applicable anti-spam, privacy, and communications laws, including requirements for consent, sender identification, contact information, and unsubscribe mechanisms.
6.3 Integrity Controls and Anti-Abuse Measures
Vanguard may apply integrity and anti-abuse measures based on complaints, technical signals, and behavioral risk indicators. Where Vanguard reasonably determines there is material risk of violation, fraud, abuse, or security threat, we may restrict features or pause events pending review.
6.4 No Implied Approval
Verification and integrity measures do not imply Vanguard endorses an Organizer, guarantees an event’s legality, fairness, or performance, or validates prizes or outcomes. Organizers remain fully responsible for their events and any promises made.
6.5 Why Vanguard May Intervene
Vanguard may remove or restrict Content or access where reasonably necessary to:
- comply with law;
- protect Users and the reputation and integrity of the Services;
- prevent fraud, manipulation, abuse, or security incidents; or
- enforce these Terms and event rules.
6.6 Actions Vanguard May Take
Depending on circumstances, Vanguard may:
- remove or limit visibility of Content;
- restrict functionality (e.g., submissions, comments, messaging);
- remove a submission or Participant from an event for serious violations;
- invalidate results where there is credible evidence of manipulation, plagiarism, fraud, or threats;
- suspend or terminate an event that violates law, these Terms, or creates serious risk;
- suspend or terminate accounts (temporarily or permanently); or
- notify relevant authorities where required by law.
Where reasonably possible, Vanguard will provide notice and opportunity to correct issues. Vanguard may act without notice in urgent situations (e.g., active fraud, safety threats, hacking).
6.7 Reports and Complaints
If you believe your rights are being violated (e.g., plagiarism, harassment, fraud, leaks, improper judging), contact support with:
- links to relevant pages/materials;
- a description of the issue; and
- supporting evidence (screenshots, logs, messages).
6.8 Disputes About Judging and Results
Event results are determined by event rules and Organizer/Judges. Vanguard is not obligated to re-score or re-judge but may intervene where there is credible indication of:
- manipulation or fraud;
- a clear technical error affecting outcomes; or
- a material breach of the event framework or unmanaged conflict of interest.
Submitting an appeal does not guarantee reversal of any decision. Vanguard will review in good faith, considering safety, integrity, and legal obligations.
6.9 Technical Incidents
The Services may experience interruptions. Vanguard does not guarantee uninterrupted availability but will make reasonable efforts to maintain stability and security. Resolution of issues affecting submission deadlines is governed by the event rules.
6.10 Restriction or Termination of Access
Vanguard may restrict, suspend, or terminate access for violations of these Terms, event rules, applicable law, or reasonable security, fraud, abuse, or compliance risks (including failure to complete verification).
Where reasonably possible, Vanguard will provide notice and steps to address issues, unless doing so would compromise security or legal obligations. Termination does not remove responsibility for prior violations or the retention of legally meaningful integrity logs, as described in these Terms and the Privacy Policy.
6.11 Appeals
Participants or Organizers may submit an appeal to support with a clear explanation and supporting evidence. Vanguard will review and respond within a reasonable time, but appeals do not create a contractual obligation to reverse any action, decision, or outcome.
7. Confidentiality
7.1 Event-level Confidentiality and Non-disclosure
Some events may include confidentiality requirements set by the Organizer (for example, closed tasks, non-public materials, internal methodologies, interim results, non-public judging panels, or other information designated as confidential for that event) (“Event Confidential Information”).
If you receive access to Event Confidential Information (including as a Participant or Judge), you agree to:
- not disclose it to third parties outside the purpose of participation and/or evaluation;
- not publish tasks, materials, or interim results before the time permitted by the event rules; and
- not use such information to gain unfair advantage or cause harm.
Vanguard may restrict access, remove a Participant/Judge from an event, invalidate results, or take other measures for violations of this section.
For enterprise or corporate events, additional confidentiality obligations, access regimes, and service levels may be set by a separate written agreement.
8. User Content: Rights, Licenses, and Responsibility
8.1 Definition of Content
“Content” means any materials you upload, submit, or provide through the Services, including submissions, media (audio, video, images), text, messages, and related metadata.
Promotional use of Content by Vanguard is governed by the Content Promotion and Media License, which may be required as a condition of participation in certain events, submissions, or platform activities.
8.2 Ownership
You retain ownership of your Content (or your team / rights holder retains it). Vanguard does not claim authorship of your work.
8.3 License Required to Operate the Services
By submitting Content, you grant Vanguard a non-exclusive, royalty-free, worldwide license to:
- host, store, reproduce, and display your Content within the Services;
- process and format your Content for technical delivery (e.g., previews, compression, indexing);
- make Content accessible according to event settings and user roles.
This license exists solely to operate and provide the Services.
8.4 Organizer-Specific Terms
Organizers may impose additional Content-related terms for specific events.
Such terms must:
- be disclosed before participation; and
- be accepted where required.
Organizer terms apply only to that event and may not override these Terms, the Privacy Policy, or applicable law.
Organizers are solely responsible for any additional licenses, permissions, or rights they require from Participants, including any use of Content for commercial, promotional, or distribution purposes outside the operation of the event. Vanguard is not a party to such arrangements.
8.5 Content Retention and Event Records
Content submitted to events may form part of event records (e.g., rankings, archives, results).
As a result:

deletion or modification may be limited by event rules;
-
Content may be retained where necessary for legal, security, or integrity purposes.
8.6 User Representations
By submitting Content, you represent that:
- you have all necessary rights and permissions;
- your Content does not infringe third-party rights;
- your Content complies with applicable law; and
- you have lawful authority to include any third-party materials or personal information.
8.7 Enforcement and Claims
Vanguard may remove or restrict Content where reasonably necessary to:
- comply with law;
- address rights violations (e.g., infringement, plagiarism); or
- protect platform integrity and Users.
You remain responsible for your Content and agree to cooperate in resolving disputes.
9. Events, Rounds, Results, Duels, and Achievements
9.1 How Events Work
An event is a configuration and ruleset defined by an Organizer: the format, theme/tasks, schedule, deadlines, evaluation criteria, judging panel, scoring logic (where applicable), and prizes (if any).
Vanguard provides the infrastructure: event pages, submission workflows, evaluation tools, rankings, notifications, access controls, and integrity measures.
9.2 Evaluation and Results
Evaluation may include:
- scores by criteria;
- judge comments (mandatory or optional, depending on event rules);
- automated calculations (for example, summation or weighting) as a technical function.
Unless explicitly stated otherwise, decisions regarding advancement, winners, and results are made by the Organizer and/or Judges under the event rules.
9.3 Duels
A duel is a structured competitive format between Participants where, depending on feature configuration:
- Participants may set a topic or conditions;
- Judges may be invited to evaluate;
- results are produced according to duel settings and/or the event rules (if the duel is part of an event).
Duels must not be used to promote unlawful activity, harassment, hate, violence, or humiliation.
9.4 Pathfinder Achievements and Access Levels
Pathfinder records achievements, statuses, and access conditions such as:
- completion markers (“completed”, “finalist”, “winner”, “passed with distinction”) and
- badges and progression requirements for next stages.
Organizers may configure which achievements are granted and which achievements are required for access to events or stages. This is part of the ecosystem navigation infrastructure, not a promise of employment, education, certification, or any external outcome.
10. Responsibility: Platform, Organizer, Participant
10.1 Platform Role
Vanguard provides the Services as infrastructure for events and related activities.
Organizers are solely responsible for:
- event rules, content, and structure;
- judging processes and decisions;
- prize fulfillment and representations made to Participants.
Vanguard does not participate in or control event operations or outcomes.
10.2 Participant Responsibility for Submissions and Conduct
As a Participant, you are responsible for:
- The legality, rights clearance, and accuracy of your Content, including intellectual property and privacy rights;
- Compliance with these Terms, event rules, and applicable law;
- Meeting deadlines and event requirements;
- Your conduct, communications, and interactions with other Users.
If your Content or actions give rise to claims against Vanguard or an Organizer, you agree to cooperate in resolution and may be responsible for resulting losses to the extent caused by your violation of these Terms or applicable law.
10.3 Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.
Vanguard makes no warranties or representations regarding:
- uninterrupted or error-free operation;
- accuracy, reliability, or completeness of content;
- outcomes of events or interactions between Users.
Vanguard is not responsible for:
- actions or omissions of Organizers, Judges, Participants, or third parties;
- User Content or its legality;
- external services, platforms, or infrastructure beyond Vanguard’s control.
10.4 Limitation of Liability
To the maximum extent permitted by law:
- Vanguard will not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, revenue, goodwill, or data, even if advised of the possibility of such damages;
- Vanguard’s total liability for claims related to use of the Services is limited to the amount you paid for paid Services in the 12 months preceding the event giving rise to the claim (or, if you paid nothing, CAD $100), unless applicable law requires otherwise.
This limitation does not apply to obligations expressly set out in a separate written enterprise agreement (e.g., custom deployments, professional services, or specific SLAs).
10.5 Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Vanguard, its directors, officers, employees, and contractors from and against any third-party claims, damages, liabilities, and reasonable, documented costs (including legal fees) arising out of or related to:
- Your Content;
- Your breach of these Terms or event rules; or
- Your unlawful use of the Services.
Vanguard will provide notice of such a claim where reasonably possible. You agree to cooperate in good faith in the defense or resolution of the claim. Where legally permitted, you may contest or defend the claim at your own expense.
11. Claims, Disputes, and How to Reach Us
11.1 Contact for Support and Legal Notices
For support requests, complaints, and notices related to the Services or these Terms, contact:

Requests relating to Personal Information should be submitted in accordance with the Privacy Policy.
11.2 Good-faith Resolution First
If you believe your rights are affected or you have a dispute related to the Services, we ask that you first contact us with:
- the relevant event/page links or IDs;
- a clear description of the issue;
- what outcome you are requesting;
- any supporting evidence (screenshots, messages, logs).
We will review and respond within a reasonable time.
11.3 Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.
Global Users:
- If you access or use the Services from outside Canada, you agree that local laws may apply to certain rights or obligations that cannot be waived (for example, consumer protection, privacy, or mandatory statutory rights).
- You acknowledge that the Services operate globally, but certain legal protections in your jurisdiction may still apply.
Venue and Jurisdiction:
- Subject to applicable law, any dispute arising out of or relating to these Terms or the Services will be brought in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts.
- For Users in jurisdictions where local law prevents exclusive jurisdiction in Ontario, disputes may be brought in the local courts, but Ontario law will still govern these Terms to the extent permitted by law.
Alternative Dispute Resolution:
- To the extent allowed by law, you and Vanguard agree to attempt good-faith negotiation or mediation before initiating formal legal proceedings.
12. Notices, Communications, and Channels (Including Pathfinder)
12.1 Service Notifications
Vanguard may send service-related messages necessary for normal operation of the Services, including:
- registration and sign-in verification;
- event application / round / result status updates;
- actions and changes within events and duels;
- security alerts (for example, suspicious sign-in activity);
- technical notices (maintenance, incidents, updates).
Service notifications may be delivered by email, within the Platform interface, and through Pathfinder (including via messaging channels) if you connected Pathfinder and enabled the relevant permissions.
12.2 Marketing Messages — Separate Consent
Marketing or promotional messages are sent only with separate consent where required.
You can unsubscribe through notification settings (where available) or by contacting support.
12.3 Notification Settings and Your Responsibility
You may configure some notifications by frequency, channel, or category.
Disabling, muting, or failing to configure notifications may cause you to miss important information, such as event deadlines, announcements, or updates.
It is your responsibility to manage your notification settings and monitor the Services accordingly. Vanguard is not responsible or liable for any consequences, losses, or missed opportunities resulting from your notification settings or failure to receive notifications.
12.4 Pathfinder as a Navigation and Communication Module
Pathfinder helps with:
- onboarding into the ecosystem;
- navigation across events and trajectories;
- recording statuses, achievements, and access conditions;
- communications (notifications and, where enabled, structured dialogues/forms).
Pathfinder may operate through messaging platforms. By connecting Pathfinder, you understand that:
- the messaging platform’s own rules and policies also apply;
- certain data elements provided by the messaging platform through its APIs (for example, account ID, username, display name) may be exchanged as part of delivering Pathfinder functionality;
- you may disconnect Pathfinder through settings (where available) or by contacting support.
12.5 Messaging platforms as third-party services
Pathfinder may interact with you through third-party messaging services (“Messaging Platforms”). By choosing and connecting a Messaging Platform, you acknowledge that:
- the Messaging Platform is a third-party service and operates under its own terms, policies, and jurisdictions;
- some identifiers and profile data made available via the Messaging Platform API (for example, ID, username, display name) may be processed through that platform’s infrastructure;
- if a Messaging Platform is operated in a foreign jurisdiction, your use of it may involve cross-border data transfers within the Messaging Platform’s own systems.
Details about Vanguard’s processing of personal information, including cross-border considerations, are described in the Privacy Policy.
12.6 Technical Data and Cookies
To operate the Services and maintain security, Vanguard may use technical identifiers and data (including cookies, session tokens, event logs, IP address, and device/browser information) to support authentication, prevent abuse, and diagnose issues. Details are described in the Privacy Policy.
13. Paid Features, Plans, Payments, and Refunds
13.1 Types of Paid Services
Certain parts of the Services may require payment, including:
(a) Platform Features
Paid access to functionality provided by Vanguard, including plans, premium features, expanded limits, or enterprise configurations.
(b) Event Participation Fees
Fees charged by an Organizer for participation in a specific event.
Vanguard provides infrastructure only and is not a party to transactions between Participants and Organizers.
13.2 Platform Payments (Vanguard Services)
Payments for Platform features are governed by the pricing, billing terms, and disclosures presented at the time of purchase.
- Payments may be processed through third-party payment providers.
- Vanguard does not store full payment card details.
- Access to paid features is granted once activated in your account.
Where required by applicable law, Vanguard will provide clear disclosure of:
- total price (including applicable taxes);
- billing frequency (for subscriptions); and
- cancellation rights.
Enterprise services (including custom deployments, integrations, or SLAs) are governed by separate written agreements.
13.3 Subscriptions, Renewals, and Cancellation
If a paid feature is offered on a recurring or subscription basis:
- billing will occur at the disclosed interval (e.g., monthly or annually);
- subscriptions automatically renew unless cancelled before the next billing date;
- you may cancel at any time through your account settings or by contacting support.
Cancellation will take effect at the end of the current billing period unless otherwise required by law.
Where required under applicable consumer protection laws, including applicable Ontario consumer protection law, Users may have additional rights, including:
- the right to receive required pre-purchase disclosures;
- the right to cancel certain agreements within any applicable statutory period;
- the right to stop future recurring billing by cancelling in accordance with the disclosed cancellation process; and
- the right to receive refunds, credits, or other remedies where required disclosures
- were not properly provided or where such remedies are otherwise required by applicable law.
13.4 Access to Paid Features
Payment grants a limited, non-transferable right to use the selected features during the applicable billing period.
Access is considered delivered once the features are enabled.
Paid access does not grant ownership of the Services or any underlying technology.
13.5 Event Payments (Organizer-Managed)
Where an Organizer charges a participation fee:
- the Organizer determines pricing, payment terms, and refund policies;
- payments are made directly to or through the Organizer’s designated payment method;
- Participants must review and accept the Organizer’s terms before payment.
Organizers are responsible for complying with applicable consumer, tax, and payment laws. Organizer-defined payment terms must not conflict with these Terms, the Privacy Policy, or applicable law. In case of conflict, these Terms and applicable law prevail.
13.6 Platform Response to Payment Abuse
Vanguard may take action where there is reasonable evidence of fraud, deception, unlawful conduct, or material non-compliance related to payments.
Such actions may include:
- restricting or suspending event functionality;
- requesting supporting information from the Organizer;
- requiring corrective disclosures; or
- taking further action where necessary to comply with law or protect Users.
13.7 Refunds and Cancellations
(a) Platform Fees
Refund eligibility depends on:
- the nature of the feature;
- whether access has been provided; and
- applicable law.
Unless required by law, fees are generally non-refundable once access is granted.
Where required under applicable law (including Ontario consumer protection law), refunds will be provided in accordance with statutory rights.
(b) Event Participation Fees
Refunds for event participation are handled by the Organizer in accordance with their disclosed terms and applicable law.
Participation in an event may result in the creation of event records (including submissions, rankings, and results) that cannot be fully removed due to integrity, archival, or operational requirements, as described in Section 8.
(c) Enterprise / Custom Services
Refunds, milestones, and payment terms are governed by separate written agreements.
13.8 Pricing Changes
Vanguard may update pricing for Platform features.
- Changes apply to future purchases or billing periods.
- Existing prepaid access remains unchanged for its duration unless required by law.
Organizers may update event fees or terms only where disclosed prior to payment or as permitted under applicable law.
13.9 No Custody or Handling of Funds
Vanguard does not receive, hold, store, or control funds on behalf of Users, Organizers, or Participants in relation to event participation fees.
Vanguard does not act as:
- a payment processor;
- escrow agent;
- trustee; or
- financial intermediary.
All payments between Participants and Organizers occur outside of Vanguard’s control and responsibility.
13.10 Chargebacks and Payment Abuse
If a User initiates a chargeback, payment reversal, or dispute in bad faith, or engages in fraudulent or abusive payment behavior, Vanguard may:
- suspend or restrict access to the Services;
- limit participation in events;
- recover reasonable costs incurred as a result of the dispute, where permitted by law; or
- take further action necessary to protect the integrity of the Services.
Nothing in this section limits any rights you may have under applicable law.
Vanguard may also take action under this section where payment abuse is connected to violations of Content or conduct rules under these Terms.
13.11 Taxes and Financial Responsibility
Users and Organizers are solely responsible for determining and fulfilling any applicable tax obligations arising from their use of the Services, including:
- event participation fees;
- prizes, winnings, or compensation;
- business or commercial use of the Services.
Vanguard does not provide tax advice and is not responsible for calculating, collecting, reporting, or remitting taxes on behalf of Users or Organizers, except where required by applicable law.
13.12 Financial Risk and Third-Party Transactions
Any financial transactions, opportunities, or agreements entered into with other Users (including Organizers, judges, or industry participants) are made at your own risk.
Vanguard does not guarantee:
- payment fulfillment;
- delivery of prizes, services, or opportunities; or
- the financial reliability of any User.
Users are responsible for conducting their own due diligence before entering into any transaction or agreement.
14. Document Priority (“Nested Rules”)
14.1 Structure of Governing Documents
The Services operate under a set of related documents that apply together, each governing a specific aspect of the Services:
- Terms of Service — govern access to and use of the Services and define the legal relationship between Vanguard and Users.
- Privacy Policy — governs the collection, use, and processing of Personal Information.
- Content Promotion and Media License — governs Vanguard’s use of Content for promotional or showcase purposes, which forms a required part of participation in the Services or specific activities, where applicable.
- Universal Event Operations Framework — establishes default rules for event conduct, judging, and integrity.
- Specific Event Rules — define event-specific requirements set by an Organizer.
These documents are interpreted together and applied based on subject matter as described below.
14.2 Conflict Resolution and Priority
If provisions conflict, they are interpreted according to the following principles:
(a) Core Platform Governance
These Terms of Service govern access to the Services and prevail for all general platform rules, rights, and obligations.
(b) Privacy and Personal Information
The Privacy Policy governs all matters relating to Personal Information and prevails where data protection or privacy obligations are involved.
(c) Promotional Use of Content
The Content Promotion and Media License governs Vanguard’s use of Content for promotional or showcase purposes. Operational use of Content within the Services remains governed by these Terms.
(d) Event Operation Rules
The Universal Event Operations Framework establishes baseline rules for events.
Specific Event Rules may modify or supplement these rules only where:
- such modification is clearly disclosed;
- the Framework permits customization; and
- the modification does not conflict with these Terms, the Privacy Policy, the Content Promotion and Media License, or applicable law.
(e) Protection Principle
Where provisions conflict, the interpretation that:
- complies with applicable law; and
- provides greater protection to Users’ legal rights
will prevail.
14.3 Organizer-Specific Frameworks (Special Mode)
In certain cases (such as enterprise or corporate events), an Organizer may apply its own event framework.
In such cases:
- the Organizer framework must be clearly disclosed and accessible before participation;
- Participants must have an opportunity to review applicable terms before joining or submitting Content; and
- the framework applies only to the extent that it does not conflict with these Terms, the Privacy Policy, the Content Promotion and Media License, or applicable law.
Vanguard reserves the right to refuse, restrict, or suspend any event where an Organizer’s framework creates legal, safety, or integrity risks.
15. Changes to these Terms
Vanguard may update these Terms from time to time to reflect changes in functionality, legal requirements, or operational processes.
15.1 Types of Changes
(a) Non-Material Changes
Non-material updates (such as clarifications, formatting changes, or administrative updates) may take effect immediately upon publication in the Services.
(b) Material Changes
Material changes that affect your rights or obligations will take effect no earlier than 15 days after notice is provided, unless a shorter period is required by law.
15.2 Notice of Changes
Where changes are material, Vanguard will provide notice through one or more of the following:
- the Services interface;
- email;
- Pathfinder or connected communication channels (where enabled).
We may also require you to review and accept updated Terms upon your next sign-in.
15.3 Continued Use and Right to Discontinue
By continuing to access or use the Services after updated Terms become effective, you agree to the revised Terms.
If you do not agree to the updated Terms, you must stop using the Services and may request account deletion in accordance with these Terms.
If you have an active paid subscription and do not agree to material changes, you may cancel your subscription before the changes take effect.
15.4 Exceptions
Changes may take effect immediately where required to:
- comply with applicable law or regulatory requirements;
- address security, fraud, or abuse risks; or
- prevent harm to Users or the Services.
15.5 Entire Agreement Integrity
Except as expressly provided in these Terms, no amendment or modification proposed by a User will be binding unless agreed to in writing by an authorized representative of Vanguard.
The current version of these Terms will always be available through the Services.
16. Miscellaneous
16.1 Force majeure
Neither party will be liable for failure or delay in performance to the extent caused by events outside that party’s reasonable control, including (without limitation): natural disasters, fires, major infrastructure outages, widespread power or network failures, governmental actions, war, civil unrest, epidemics/pandemics, or similar events (“Force Majeure”).
Where reasonably possible, the affected party will provide notice through available communication channels. Obligations are suspended for the duration of the Force Majeure event, and timelines will be extended accordingly.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
16.3 No Waiver
Failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Vanguard’s prior written consent. Vanguard may assign these Terms as part of a corporate reorganization, merger, acquisition, or sale of assets, or as otherwise permitted by law.
16.5 Entire Agreement
These Terms, together with the documents referenced in Section 14 (Document Priority), including the Privacy Policy, the Content Promotion and Media License (where applicable), the Universal Event Operations Framework, and any documents expressly incorporated by reference, constitute the entire agreement between you and Vanguard regarding the Services.
This agreement supersedes all prior or contemporaneous communications, proposals, or agreements, whether written or oral, relating to the Services.
These Terms apply as updated from time to time in accordance with Section 15 (Changes to these Terms).
No statements, representations, or agreements not expressly set out in these Terms or the referenced documents will be binding on Vanguard unless confirmed in writing by an authorized representative.
16.6 Survival
Any provisions of these Terms that by their nature should survive termination or expiration of this agreement will remain in effect after termination, including, without limitation, provisions relating to intellectual property, content licenses, confidentiality, limitations of liability, indemnification, dispute resolution, and governing law.
